1. Agreement and eligibility

These Terms govern the website, Studio and partner experiences, and available desktop, mobile, and dictation features provided by Kairos OS, Inc. ("Kairos," "we," "us," or "our") (the "Services"). You agree to these Terms when you affirmatively accept them. Do not use features requiring acceptance if you do not agree.

You must be at least 18 and legally able to enter this agreement. Our initial Services are intended for users in the United States. If accepting for an organization, you must have authority to bind it.

Some features require an account; Studio may be available without one. Provide accurate information, protect your credentials, and notify us of suspected unauthorized access. Do not impersonate another person or access their account without authorization.

2. What Kairos provides

Kairos helps you notice patterns in how you sound and reflect on how you may feel. Measurements, summaries, and automated insights may be incomplete or inaccurate. They do not establish your actual feelings, explain the cause of a change, or prove an activity caused improvement.

Kairos is not a medical, diagnostic, therapeutic, or emergency service. Results are informational, do not replace professional care, and must not be relied on for medical, emergency, employment, insurance, or other consequential decisions about a person.

3. Recording and permitted use

Use recording features only with the rights and permissions required by law and relevant workplace or organizational rules. Provide required notice and obtain required consent from others who may be captured. Speaker separation does not remove that responsibility.

Only connect accounts or submit information you are authorized to use. Do not secretly monitor others, interfere with the Services, bypass access controls, introduce malicious software, infringe others' rights, or use Kairos to harass or exploit anyone.

4. Content, privacy, and research

You retain your rights in content you provide. You grant Kairos a limited, nonexclusive permission to process it to provide requested features, fulfill your instructions, and operate and secure the Services. Service providers may perform this processing on our behalf.

Our Privacy Policy explains data handling, choices, temporary audio processing, research, and deletion. Research use remains subject to that policy, applicable permissions, connected-service restrictions, and law. These Terms do not replace separately required consent or waive statutory privacy rights.

After account deletion, Kairos may retain and use properly de-identified or aggregated derived research information as described in the Privacy Policy and permitted by law. Account closure does not automatically erase all research information.

Kairos and its licensors retain rights in our software, designs, and models. You may use them through the Services for their intended purposes. Restrictions on copying, modification, or reverse engineering apply only to the extent permitted by law. We may use product suggestions without compensation; that does not give us unrestricted rights to private information included in feedback.

5. Studio, partners, and third parties

Studio provides short voice checks and results, including before/after comparisons. Partners may receive combined group reports, without individual signal histories, recordings, or transcripts. Partners using these reports must not attempt to identify individuals or use reports for consequential decisions about them.

Unless separately agreed, Kairos provides the voice-check experience, while partners are responsible for their own classes, events, or other offerings. Separate partner agreements may govern commercial arrangements.

Optional connections depend on third-party services whose terms and availability may change. Our handling of information received from them is described in the Privacy Policy.

6. Charges and service changes

If we offer paid features, pricing, renewal, cancellation, and refund terms will be disclosed before purchase. Accepting these general Terms alone does not authorize a recurring charge. App-store purchases may also be governed by the store's purchase terms.

Kairos is evolving. We may change or discontinue features, with reasonable notice of material changes where practicable, subject to applicable law and paid-service commitments.

We may suspend access for a material breach, fraud, security threats, or legal requirements. We may provide notice and an opportunity to address the issue when appropriate. Immediate action may be necessary to protect users or the Services.

You may stop using Kairos or request account closure at any time. The Privacy Policy explains personal-data deletion and research retention.

7. Disclaimers and liability

To the extent permitted by law, the Services are provided "as is" and "as available," without guarantees of uninterrupted availability or accurate results. We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent permitted by law.

To the extent permitted by law, Kairos is not liable for indirect, incidental, special, or consequential damages. Our aggregate liability arising from the Services or these Terms is limited to the greater of $100 or fees you paid Kairos for the Services in the twelve months preceding the event giving rise to the claim.

These limits do not exclude fraud, willful misconduct, or liability that cannot lawfully be limited. Mandatory consumer rights remain unaffected.

8. Updates, governing law, and contact

We will notify you of material Terms changes and their effective date, obtaining renewed acceptance where required. Changes will not retroactively remove rights relating to earlier events.

California law governs these Terms, except where mandatory law provides otherwise. You retain protections that cannot legally be waived.

Contact us about concerns so we can try to resolve them; this does not restrict available legal remedies. If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. Provisions concerning ownership, lawful retention, and liability survive closure where applicable.
