These Terms of Service ("Terms") govern your access to and use of the Kairos mobile application, websites, and related services (collectively, the "Services") provided by Kairos ("Kairos," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Services. If you are under 18, you represent that you have permission from a parent or legal guardian.

By using the Services, you represent that you are legally capable of entering into a binding agreement.

2. Nature of the Services

Kairos provides a consumer mental fitness experience designed to help users reflect on their state and observe patterns over time.

Kairos is not a medical provider, therapist, or mental health professional. The Services are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

You should not rely on Kairos for medical, psychiatric, or emergency decisions. If you are experiencing a medical or mental health emergency, contact emergency services immediately.

3. Your Account

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Providing accurate information

You agree not to share your account or impersonate another person.

We may suspend or terminate accounts that violate these Terms.

4. User Content

You retain ownership of the content you create in Kairos, including recordings, transcripts, journal entries, and notes ("User Content").

By using the Services, you grant Kairos a limited, non-exclusive, worldwide license to process your User Content solely to:

• Provide the Services
• Generate transcripts and insights
• Improve functionality and performance
• Maintain security and integrity

We will handle User Content in accordance with our Privacy Policy.

You represent that you have the rights necessary to submit your User Content and that it does not violate any law or third-party rights.

5. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes
• Upload content that infringes intellectual property rights
• Attempt to reverse engineer or interfere with the Services
• Use the Services to harass, harm, or exploit others
• Attempt to access accounts or data that are not yours

We reserve the right to remove content or restrict access if these Terms are violated.

6. AI-Generated Insights

Kairos may generate automated insights based on your recordings.

You understand and agree that:

• Insights are generated algorithmically
• They may not always be accurate or complete
• They are informational only and not medical advice

You are responsible for how you interpret and use the information provided.

7. Feedback

If you provide feedback, suggestions, or ideas about Kairos, you grant us the right to use that feedback without restriction or compensation.

8. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect information.

9. Termination

You may stop using the Services at any time.

We may suspend or terminate your access if:

• You violate these Terms
• We are required to do so by law
• We discontinue the Services

Termination does not affect provisions that are intended to survive, including ownership, disclaimers, and limitations of liability.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

To the maximum extent permitted by law, Kairos disclaims all warranties, express or implied, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement

We do not guarantee uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by law, Kairos and its affiliates will not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of data, profits, or goodwill
• Decisions made based on insights provided by the Services

Our total liability for any claim arising from your use of the Services will not exceed the amount you paid us (if any) in the 12 months prior to the claim.

12. Changes to the Services or Terms

We may modify or discontinue parts of the Services at any time.

We may update these Terms from time to time. If changes are material, we will provide notice. Continued use of the Services after updates constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
