1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Kairos mobile application, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

For purposes of these Terms, "Kairos," "we," "us," or "our" refers to the individual or entity operating the Kairos service.

2. Description of the Service

Kairos is an early-access, caregiver-focused tool designed to help users organize, document, and share care-related information for themselves or others they support.

The Service may include features such as note-taking, document storage, audio transcription, timelines, and collaboration with invited family or care circle members.

The Service is provided for informational and organizational purposes only.

3. Beta / Early Access Disclaimer

The Service is currently offered as a beta / early-access product.

This means:

• Features may change, be removed, or stop working at any time
• The Service may contain errors or inaccuracies
• Availability, reliability, and functionality are not guaranteed

You acknowledge and agree that you use the Service at your own risk.

4. Not Medical Advice; No Emergency Use

Kairos does not provide medical advice, diagnosis, or treatment.

• The Service is not a healthcare provider
• The Service is not a substitute for professional medical care
• AI-assisted features are informational only and are not diagnostic or prescriptive

Do not use Kairos in emergencies.

If you believe someone is in immediate danger to themselves or others, call 911 or contact the 988 Suicide and Crisis Lifeline (U.S.), or local emergency services.

5. Eligibility

You must be at least the age of digital consent in your jurisdiction to use the Service.

By using the Service, you represent that you meet this requirement.

6. Accounts and Authentication

You must create an account to use certain features of the Service. Authentication is handled through third-party identity providers.

You are responsible for:

• Maintaining the confidentiality of your account
• All activity that occurs under your account
• Not sharing your account credentials with others

Accounts are individual and not shared.

7. Family and Care Circle Features

The Service allows users to invite others (e.g., family members or care circle members) to collaborate and view shared content.

You control what information you choose to share and with whom.

You acknowledge that:

• Invited users may view, copy, or retain shared information
• Kairos is not responsible for how invited users use shared information

8. User Content

8.1 Your Content

You may upload or create content through the Service, including text, audio, images, documents, and structured information ("User Content").

You retain ownership of your User Content.

8.2 License to Kairos

By submitting User Content, you grant Kairos a non-exclusive, worldwide, royalty-free license to host, store, process, analyze, and display such content solely to operate, maintain, and improve the Service, in accordance with our Privacy Policy.

8.3 Information About Others

If you upload or enter information about another person (including a care recipient), you represent that you have the legal authority or permission to do so.

Kairos does not verify the accuracy or legality of such permissions.

9. Prohibited Uses

You agree not to:

• Use the Service for unlawful purposes
• Upload content you do not have rights to share
• Attempt to reverse engineer or interfere with the Service
• Use the Service to provide medical advice or emergency services
• Misrepresent your identity or relationship to others

10. Third-Party Services

The Service may rely on third-party services (e.g., hosting, authentication, transcription, document processing).

Kairos is not responsible for third-party services and does not control their terms or availability.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, including if:

• You violate these Terms
• The Service is discontinued
• We determine termination is necessary for security or operational reasons

You may stop using the Service at any time.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIROS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be accurate, reliable, uninterrupted, or error-free.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIROS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF DATA, HEALTH OUTCOMES, OR RELIANCE ON INFORMATION PROVIDED THROUGH THE SERVICE.

KAIROS'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED $100 USD.

(Some jurisdictions do not allow certain limitations; these limits apply to the extent permitted by law.)

14. Indemnification

You agree to indemnify and hold harmless Kairos from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Information you submit about others without proper authorization

15. Governing Law

These Terms are governed by the laws of the United States and the state in which the Service operator is located, without regard to conflict-of-law principles.

16. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
